The Role 

 

Tesla is seeking an experienced Corporate, M&A, and
Securities Counsel to join our legal team. In this role, you will
provide advice on M&A transactions, as well as support and
guidance on securities and corporate governance matters. The
default location for this position is the Bay Area in
California. 

 

 Responsibilities 

 

  • Review, draft and negotiate transaction documents  
  • Provide lead legal support for mergers, acquisitions,
    divestitures and joint venture arrangements or other strategic partnerships,
    and the integration of acquisitions 
  • Assist in the preparation, review and filing of SEC filings
    and related documents, including current and periodic reports, proxy
    statements, registration statements and other securities-law filings 
  • Assist in drafting and reviewing other disclosures and
    corporate communications, including disclosure documents, including earnings
    releases, press releases and blogs 
  • Assist in monitoring, maintaining and implementing various
    corporate governance practices and policies 
  • Provide legal advice and support on transactions supporting
    day-to-day operations of the company 
  • Assist with implementation of Sarbanes-Oxley compliant
    controls and preparation for potential future corporate transactions 
  • Help to develop, implement and continually improve processes
    and procedures to increase efficiency of Tesla’s legal department 
  • Support company’s ESG initiatives and
    programs, including coordination with internal and external stakeholders 

 

Requirements 

 

  • J.D. with excellent academic credentials and top tier law
    firm experience 
  • Minimum of eight years’ experience as a corporate, M&A and securities attorney.
  • Excellent oral and written communication skills (sense of
    humor required) 
  • Demonstrated ability to work efficiently, prioritize
    workflow, meet demanding deadlines, and manage multi-dimensional projects in a fast-paced
    environment  
  • Sound and practical business judgment    
  • Ability to work both independently and with a diverse set of
    personalities in a team environment 
  • Proven track record of learning quickly, taking initiative,
    working proactively, being resourceful and taking on additional responsibility
